Effective Date: November 18, 2010I. THE FOLLOWING TERMS AND CONDITIONS CONSTITUTE AN AGREEMENT BETWEEN YOU (“YOU”) AND POCKETMEDI, INC. ("WE" OR "US" OR “THE COMPANY”), WHICH IS THE OWNER AND OPERATOR OF THE PocketMedi APPLICATION (“POCKETMEDI” OR THE "APPLICATION") AND THE ASSOCIATED WEBSITE (THE “SITE”). FOR PURPOSES OF THIS AGREEMENT, THE “POCKETMEDI” AND THE “APPLICATION” SHALLALSO INCLUDE ANY AND ALL MOBILE APPLICATONS (THE “MOBILE APPLICATIONS”) RELATED THERETO.. THIS AGREEMENT AND ALL ITS TERMS AND CONDITIONS (THE "TERMS AND CONDITIONS") GOVERN YOUR USE OF THE APPLICATION, BOTH AS A CASUAL VISITOR AND AS A MEMBER (AS DEFINED BELOW). BY USING ANY OF THE SERVICES PROVIDED BY THE APPLICATION (THE “SERVICES”), BY REGISTERING WITH US, AND/OR BY VIEWING OR UTILIZING PocketMedi OR ANY PORTION THEREOF, YOU SIGNIFY THAT YOU AGREE TO THESE TERMS AND CONDITIONS, INCLUDING YOUR AGREEMENT TO RECEIVE NOTICES FROM AND OTHERWISE TRANSACT WITH US ELECTRONICALLY. YOU FURTHER AGREE THAT YOU CONSENT TO THE INFORMATION PRACTICES DISCLOSED IN OUR PRIVACY POLICY (THE “PRIVACY POLICY”), WHICH IS INCORPORATED BY REFERENCE HEREIN. PLEASE NOTE THAT, AS MORE FULLY PROVIDED BELOW, WE OFFER THE APPLICATION "AS IS" AND WITHOUT ANY WARRANTIES. II. WELCOME PocketMedi is designed to assist parents and families with healthcare challenges. Solving a healthcare challenge is like solving a jigsaw puzzle: all the pieces need to fit together to get the best outcome. Indeed, in many cases, fitting all of the pieces together may determine the outcome. Used well, Pocket Medi can be a valuable piece of the puzzle. PocketMedi is available on mobile devices like the iPhone, Blackberry, and the Android phone, and on the web as well. In many or most instances, PocketMedi will interoperate on multiple platforms, i.e. the PocketMedi content posted and displayed on the iPhone, Blackberry and the Android, and on the web, may be same (although the Company does not guarantee this). There are many pieces to the puzzle of a healthcare challenge, but the primary goal is clear: to ensure that the patient gets the needed medical care. For this purpose, one needs to understand the health problem(s) and their possible resolutions, to be clear about the prognoses, to address the insurance challenges, to take advantage of the resources at your disposal, and last but not least, to successfully endure what may be an emotional roller coaster. PocketMedi provides tools and resources to families and patients by working with hospitals and, from time to time, other medical providers, insurance companies, and family and social networks. In this regard, PocketMedi can be an exceptionally useful informational resource. HOWEVER, PocketMedi DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. DECISIONS ABOUT THE BEST MEDICAL TREATMENTS AND LIFESTYLE CHOICES SHOULD BE MADE BY YOU IN CONSULTATION WITH YOUR PERSONAL HEALTH CARE PROVIDERS, WHOM YOU CHOOSE BASED ON YOUR OWN NEEDS. III. RULES, REGULATIONS AND RESTRICTIONS REGARDING THE APPLICATION THE FOLLOWING TERMS AND CONDITIONS GOVERN THE USE OF POCKETMEDI.. PLEASE READ THEM CAREFULLY BECAUSE YOU MUST UNDERSTAND AND ACCEPT THEM BEFORE YOU USE OR REGISTER FOR THIS SITE.IF YOU HAVE ANY QUESTIONS, PLEASE REFER TO ADMIN@POCKETMEDI.COM. A. Registration You can view publicly-available aspects of the Application without registering. However, access to the Mobile Applications and to certain other portions of the Application is through registration only. In particular, the functional parts of the Application are not publicly-available: in order to make any post to, or actually to visit, any functional part of any PocketMedi application, You must register first. The “functional parts of the Application” include the following: PocketMedi has 5 Major Modules on the mobile device. The module based separation also provides a clear distinction between user’s generated content, content from medical professional and hospital administration allowing the users the consume the content in proper context. PocketMedi Modules include.

Module allows users to share pictures, videos and messages with friends, Post public and private messages. Post messages to specific friend. Allows users to add
friends, view friendship request & create a support network. Manage, View & create events

Notes and view notes to help communication and family centered care program, Blogs, & discussion board, Chatting Channels, andManaging your health care team

o Create localized echo systems for hospitals and non profits where people will be able to view other public profiles

o Hospital Services, Medicine Manager, Blogs and articles
• Hospital Layout
o Hospital Layout, Hospital staff and add staff etc.
You can register by visiting the PocketMedi.com homepage and clicking on the "register" button, or by downloading one of the Mobile Applications and clicking the register button. Once registered, You can become a regular user. Before You make a post in any publicly-visible part of the Application, You will be required to create a display name. You may not use a display name that is vulgar, attempts to impersonate another person, or otherwise violates any of the Terms and Conditions and/or the rights of others. Registered users are sometimes referred to as “Members or Community.
You and the Company are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms and Conditions. B. Personal Information The PocketMedi.com Privacy Policy explains the information practices that apply to the PocketMedi Application You are managing or visiting, as well as the personal information we have about You. You consent to the transfer of the personal information to and within North America or other countries for processing and storage by us, as more fully provided therein. This includes the location, UNIVERSALLY UNIQUE IDENTIFIER (“UUID”) of any mobile devices you use to access the Application and their phone number(s), information you provide about their health issues etc. We will provide all reasonably necessary tools to protect your information. However, we cannot be and e are not liable for any accidental loss of data or any other loss which is beyond our control. C. Your Responsibilities During registration You will provide an email address and create a password. These are your credentials for accessing Services that are only available to Members ("Credentials"). You agree that We, and vendors acting on our behalf, may use your Credentials to authenticate You on the applications. You are responsible for all uses of the Application using your Credentials, including use by others to whom You have given your Credentials. You are responsible for keeping your password confidential and for notifying us if your password has been hacked or stolen. If You discover that someone is using your password or account without your consent, or You discover any other breach of security, You agree to notify us immediately at admin@PocketMedi.com. You may use the Site and the Services for lawful, non-commercial purposes only. While we disclaim any responsibility to do so, we reserve the right to (i) screen, by mechanical means or otherwise, for objectionable information transmitted or shared by members on individualized portions of the PocketMedi website or PocketMedi Mobile Applications, (ii) monitor the screened content and, if considered objectionable in our sole discretion, to remove such content and/or remove any portion of the PocketMedi Site personalized by You, from Our system at any time without notice. When creating or maintaining a PocketMedi account or posting to the website or mobile device, You must comply with any Best Practices Guidelines (as defined below). . You must always comply with these Terms and Conditions, including Section III.N Below, entitled “Restrictions on Use”. You agree to provide up-to-date account information, including a valid email address, if you are an active Member. EXCEPT FOR THE ACCOUNT INFORMATION, THE COMPANY DOES NOT REQUIRE THAT YOU SUBMIT ANY PERSONAL INFORMATION OR MAKE ANY POSTINGS TO THE SITE. D. PocketMedi Application The Application can be managed by a patient or by a loved one. If You are creating a PocketMedi account for someone else, You must have that person's and/or his legal guardian's express written permission before creating a PocketMedi account on his or her behalf (unless the other person is your child or or you are otherwise the person’s legal guardian). No one under age13 may be a Member unless their use is strictly supervised by an adult. The Services are not available to temporarily or indefinitely suspended Members. We reserve the right, in our sole discretion, to cancel unconfirmed or inactive accounts. Except where contrary to law, We reserve the right to refuse or discontinue service to anyone, for any reason, at any time. Your use of the Site and the Application may entail third-party costs (such as phone and data connection charges or data plan costs). We disclaim any and all liability for such charges and costs. The Company does not at this time charge for the use of its Services. However, it reserves the right to impose costs or fees for the same at any time in the future, without reservation and in its sole discretion. Your use of the Application or portions thereof may be tracked by the Company in order to provide better service and for other purposes. You consent to such tracking, provided that we will not make available or disclose your identity (full name and email address) to any third party, as provided by our Privacy Policy. E. Postings and Feedback The Application allows Members to make postings (e.g., comments, blogs, updates and images) using mobile devices and on PocketMedi web pages to which the Member has access ("Postings"). Member contributions to a PocketMedi web page are considered Postings. You may make posts which are visible only to you by following the instructions on the Site, and not transmitting the same to any third party, by email or otherwise. Postings made on a PocketMedi webpage may also be restricted to certain visitors by the Member or may be viewed by any registered user of the Application if such access is granted by the Member. Please be thoughtful with your Postings, and avoid offending others or infringing their rights. You may not post Postings that violate these Terms and Conditions or the Best Practices Guidelines and we reserve the right to block your ability to post and/or to access the Site and Services if You do. You (or the author) continue to own the copyright in your Postings but, by submitting Postings to any web page on the Site which is accessible by any other party, You grant us and our affiliates an irrevocable, perpetual, royalty-free, worldwide right to use, copy, display, perform, distribute (through multiple tiers of distributors), adapt, translate, edit, and promote your Postings in any medium now known or later developed and any manner we choose, and to use your display name or, in the case of public PocketMedi websites, your first name, to attribute your Postings to if we so choose. While some discussion forums and blogs are monitored for topicality, we have no obligation to prescreen Postings, and are not responsible for their content. We encourage You to notify us about any inappropriate or illegal content posted on this Application and we reserve the right to remove Postings for any reason without prior notice. We are not, however, responsible for any failure or delay in removing Postings. You acknowledge that the Postings of others may be offensive, harmful, inaccurate and even deceptive, and at a minimum are simply their opinions. You should therefore not rely on them. Please note that we also do not undertake to screen our users in advance and disclaim any liability whatsoever for their conduct. You acknowledge that We are not responsible for any content, data, information or misinformation, images, usernames, profiles, audios, videos or other Postings made by any third party (including by any hospitals and/or medical facilities) and disclaim any and all liability therefor. In this regard, there may be a portion of the Site which is dedicated to or used by hospitals and/or medical facilities for informational and related purposes, and which may contain content, including articles and informational postings, placed on the Site by these facilities. You agree that the foregoing waivers and releases of liability apply to such facilities and that We are not responsible for the same or their Postings. In addition to Postings, You may submit feedback to us. We welcome your feedback regarding our Site and Services. You agree that we may use in any manner and without limitation all comments, suggestions, complaints and other feedback You provide relating to the Site or Services, and that we will own all intellectual property and all rights therein that we create based upon or incorporating your feedback. Please be respectful to your healthcare facility and team and do not post any photographs of hospital staff, physicians or other patients without their express written consent. Posts should not contain defamatory or libelous remarks about your healthcare facility or members of the healthcare team.
F. We Do Not Provide Medical Advice
THIS APPLICATION AND THE SERVICES OFFER OBTAIN INFORMATION ABOUT HEALTH, A TOOL TO HELP WITH THE PATIENT’S CARE, AND EMOTIONAL SUPPORT FOR PATIENTS AND THEIR FAMILIES. AS SUCH, THEY ARE DESIGNED FOR EDUCATIONAL AND RECREATIONAL PURPOSES ONLY. YOU SHOULD NOT RELY ON THIS INFORMATION AS A SUBSTITUTE FOR, NOR CAN IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. IF YOU HAVE ANY CONCERNS OR QUESTIONS ABOUT YOUR HEALTH OR THE HEALTH OF YOUR ANY OF YOUR FAMILY MEMBERS, YOU SHOULD ALWAYS CONSULT WITH A PHYSICIAN OR OTHER HEALTH-CARE PROFESSIONAL. DEVELOPMENTS IN MEDICAL RESEARCH MAY IMPACT THE HEALTH, FITNESS AND NUTRITIONAL INFORMATION THAT APPEARS HERE. NO ASSURANCE CAN BE GIVEN THAT THE INFORMATION CONTAINED IN THIS APPLICATION WILL ALWAYS INCLUDE THE MOST RECENT FINDINGS OR DEVELOPMENTS WITH RESPECT TO THE PARTICULAR MATERIAL. Your access or use of this Application and the Services does not create in any way a physician/patient, confidential, or privileged relationship, or any other relationship that would give rise to any duties on our part or the part of our suppliers. We do not recommend or endorse any specific tests, physicians, procedures, opinions, or other information that may appear on the Site. You acknowledge and agree that we are not responsible or liable for the content or accuracy of these other sites. Members are advised to donate to charities and other third parties at their own risk. PocketMedi and CO is not responsible for donation requests or payment links posted by Members and expressly disclaims any liability related to donation links on any portion of the Site.I. Linking To the Site
You generally do not need to obtain permission from us to put a text link on your site that links back to the PocketMedi.com website. We reserve the right, however, to revoke permission to the link at any time in our sole discretion. If we revoke such consent, You agree to immediately remove and disable any and all of your links to the Site. In the absence of a written agreement with us specifying how You may link to the Site, use the following guidelines for adding one or more links to the Site from your website: The link must be a text-only link that clearly includes the phrases "PocketMedi.com" or "PocketMedi". The link must "point" to a page on www.PocketMedi.com If the link points to any page on the Site other than the home page, the text link must also include the title of the target landing page. For example, if the link points to the "Connect" area of the Site, the link should include the words "Connect - PocketMedi" The link, when activated by a user, must display the Site full-screen and not within a "frame" on the linking website, and such linking may not trigger any interstitial or pop-up or pop-under windows. The link may not be used in connection with or appear on a website that a reasonable person might consider offensive, obscene, defamatory or otherwise malicious.JJ. Advertising
We accept advertising that complies with our Policy. Please keep in mind that any dealings that You have with advertisers found on the Site are between You and the advertiser and You acknowledge and agree that neither We nor our suppliers are liable for any loss or claim You may have against an advertiser.J. Changes to the Site and Services
We may from time to time modify the Application, add new Services, substitute a new Service for an existing Service, or discontinue an existing Service. If You disagree with or object to the changes to these Terms and Conditions, you may discontinue your use of the Site, or if You have registered as a member, cancel your registration. Otherwise, your ongoing use of the Site after the changes take effect signifies your agreement to the new terms. We encourage You to review the Terms and Conditions regularly.N. Restrictions on use
To help ensure that everyone's experience on the Site is a positive one, we have certain rules of conduct which we expect You to follow, and the violation of which will subject you to immediate termination without notice. • not interfere or attempt to interfere with or disrupt the Application's Services or systems, or in any manner hinder or damage the commercial operations of the Site or any component part thereof;
• not transmit or post any materials that contain viruses, Trojan horses or other harmful programs;
• not attempt to gain unauthorized access to the Application or profile information on any PocketMedi website;
• not provide false information on your registration form, impersonate any person or otherwise mislead any other person or entity, including any other user Us;,;
• not use any robot, spider, scraper or other automated means to access the Application in a manner that sends more request messages to our servers in a given period of time than a person can reasonably produce in the same period. If You are public search engine, however, You may use spiders to copy materials on the Public areas of the Application solely as necessary to create publicly available searchable indices of the Public materials. Public Search Engines may not create caches or archives of such materials.
O. REMEDIES
We may take any legal steps and/or technical remedies necessary in our sole discretion to prevent the violation of the foregoing provisions and to enforce these Terms and Conditions.P. International Use
The Application and Services, including the information provided on the Application, are designed for and intended for users in North America. We make no representation that the Application or Services are applicable to, appropriate for, or available to users in locations outside North America. Accessing the Application and Services from territories where the content is illegal is prohibited. If You choose to access the Application and Services from a location outside the U.S., You do so on your own initiative, and are solely responsible for compliance with local laws and .all liability therefore. You agree to Indemnify (as defined below) Us for any violation by You of this provision.Q. We Make No Warranties
YOU AGREE THAT YOUR USE OF THE APPLICATION AND ITS SERVICES SHALL BE AT YOUR SOLE RISK. WE PROVIDE THE APPLICATION AND THE SERVICES "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, POCKET MEDI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SPONSORS AND AGENTS) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APPLICATION, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SECURITY AND COURSE OF DEALING.WE DO NOT MAKE AMY WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS APPLICATION'S CONTENT OR THE CONTENT OF ANY APPLICATIONS LINKED TO THIS APPLICATION AND ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, INACCURACIES OR LOSS OF DATA OR CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE APPLICATION, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF THE COMPANY'S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION IN THE SERVICES OR THE APPLICATION, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR OTHER HARMFUL PROGRAMS TRANSMITTED THROUGH THE APPLICATION; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR POSTINGS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT OR POSTINGS ON THE APPLICATION. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED OR ADVERTISED BY A THIRD PARTY THROUGH THE APPLICATION. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS THAT THIS CONTRACT CANNOT CHANGE. YOU USE THE APPLICATION AND THE SERVICES AT YOUR OWN RISK.R. Limitation of Liability
NOR CO WE WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY INDIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS APPLICATION, OR A LINKED APPLICATION, INCLUDING ANY DELAY OR INABILITY TO USE THE APPLICATION OR LINKED APPLICATION, EVEN IF WE WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WE BE LIABLE FOR THE PROCUREMENT OF SUBSTITUTE SERVICES. THE CUMULATIVE AMOUNT OF OUR LIABILITY TO YOU, NO MATTER THE NATURE OF YOUR LEGAL OR EQUITABLE CLAIM, WILL NOT EXCEED $20. THESE LIMITATIONS ON LIABILITY INCLUDES, BUT ARE NOT LIMITED TO, THE TRANSMISSION OF ANY VIRUSES WHICH MAY INFECT YOUR EQUIPMENT, FAILURE OF EQUIPMENT OR COMMUNICATION LINES, UNAUTHORIZED ACCESS, THEFT, OPERATOR ERRORS, STRIKES OR OTHER LABOR PROBLEMS OR ANY FORCE MAJEURE. ALTHOUGH WE WILL USE COMMERCIALLY REASONABLE EFFORTS TO ADDRESS ANY PROBLEMS OR CONCERNS REGARDING THE APPLICATION OR THE SERVICES, IF YOU CONTINUE TO BE DISSATISFIED WITH THE APPLICATION OR SERVICES OR WITH ANY OF THESE TERMS AND CONDITIONS, YOUR ONLY REMEDY IS TO DISCONTINUE USING POCKETMEDI.COM AND TERMINATE YOUR REGISTRATION.S. Termination

We may terminate the Application, the Services, or any Service, at any time, without notice. You acknowledge that the Services may not be error-free, may be disrupted, and that We are not liable for the same. Your right to use the Services will end once your registration is canceled or terminated, and any data You have stored on such a Service may be unavailable later, unless we are required to retain it by law. We will post a notice on the Site regarding any change of ownership so that You have the opportunity to discontinue your use of the Site or cancel your registration if You do not wish to continue to use the Site and Services under the new ownership.
